Laizie Terms of Purchase and AI Use
Oct 16, 2026 · @Chris
Please read these terms carefully. They limit SharpNet's liability, make Laizie a use-at-your-own-risk product, set refund limits, and require mediation before any lawsuit, with any trial held in Larimer County, Colorado.
Part A: Purchase Policy
1. Scope, Parties, and Definitions
These terms are an agreement between you and SharpNet Solutions ("SharpNet," "we," "us"), which develops and operates Laizie. They consist of this Purchase Policy (Part A), the AI Behavior Policy (Part B), and the Terms in Part C.
Use requires acceptance of all terms. Your right to use Laizie Builder, Laizie Router, and any add-on exists only while you accept every term in Parts A, B, and C, including mediation before litigation and Larimer County, Colorado as the jurisdiction and venue for trial (Section 16). Installing, activating, or using any part of Laizie is your acceptance. If you do not accept all of these terms, you are not licensed to use Laizie, and any use is a violation of these terms and of the Laizie license.
| Term | Meaning |
| Laizie Builder | The self-hosted PHP application you install in a folder on your own web host. |
| Laizie Router | The AI routing service at laizie.dev that selects models and relays AI requests to third-party providers. |
| Operator | The person or business that installs, controls, or uses a Laizie install. If you install Laizie for a client, you are the Operator. |
| Account Key | The key that ties an install to an account, its add-on entitlements, and its token balance. |
| Laizie Tokens | Prepaid AI usage credit purchased from SharpNet and consumed by AI requests sent through Laizie Router. |
| BYOK | Bring Your Own Key: using your own AI provider account, key, or endpoint instead of Laizie Tokens. |
| AI Provider | Any third party whose models process your requests, such as OpenAI, Anthropic, Google, and others. |
| Output | Anything the AI generates, including text, HTML, CSS, JavaScript, images, tags, and suggestions. |
You must be at least 18 and must use Laizie for business or professional purposes. If you accept on behalf of a company, you confirm you have authority to bind it.
2. What You Are Buying
You are buying access to software and prepaid AI usage, not a finished website or a guaranteed result.
- Laizie Builder core is provided free of charge under its license. It is licensed, not sold. One install serves one website.
- Laizie Tokens are prepaid usage credit. They have no cash value, are not a deposit, a bank account, or a security, and cannot be transferred, resold, or redeemed for money except as stated in Section 5 or where law requires.
- Add-ons (for example WordPress or Shopify connectors, IDX, calendar) are licensed per install for the term and price shown at purchase.
- Account Keys remain SharpNet property. Each key is licensed to one Operator. You may not share, sell, or pool keys across accounts.
Purchases are final when the payment processor confirms them. You are responsible for applicable taxes. Prices are in US dollars unless stated otherwise.
3. Token Pricing and Metering
Usage is charged against your Laizie Token balance at the published rate for the quality tier in effect at the time of each request.
- What is metered. Input tokens, output tokens, and any cached or reasoning tokens the AI Provider reports for your request. Charges are based on the usage the AI Provider reports, not on Laizie's pre-request estimates. Estimates shown in the interface are for planning only.
- Routing overhead. Laizie Router may make small internal calls, for example to classify a request and pick a model. The cost of these calls is included in the published rate.
- Quality tiers. You choose a tier from Economy through Max. Laizie Router selects models within that tier. It will never route your request to a higher-priced tier than the one you selected without your instruction.
- Multi-model requests. On tiers where it is enabled, a large request may be divided among several models. Each model's usage is metered. Dividing work can raise total input tokens because shared context is sent to each model.
- Provider pass-through. AI Providers change their prices without notice to us. We may change Laizie Token rates on 14 days' notice. If a provider raises prices with less notice, we may adjust the affected rate immediately and will post the change.
- Rate changes apply going forward. Your remaining balance is consumed at the rates in effect when you use it, not when you bought it.
- Token efficiency. Laizie is designed to reduce token usage through routing, caching, and prompt minimization. Savings vary by request and are not guaranteed. Any savings figure we publish is an estimate from internal testing, not a promise for your use.
4. Spend Controls and Consumption
You control how much you spend; tokens are consumed whether or not you like the result.
- Prepaid only. Requests stop when your balance reaches zero. We do not extend credit. Automatic top-up happens only if you turn it on, and you can turn it off at any time.
- Per-request cap. Each request carries a cost ceiling. If a request is projected to exceed it, Laizie reduces the work first, then routes to a lower-cost model, and finally declines the request. A declined request is not charged.
- Account caps. You may set daily and monthly spending limits. When a limit is reached, AI requests pause until the next period or until you raise the limit.
- Large builds. New Website Builder mode accepts prompts of up to 200,000 tokens and can consume a significant amount of balance in one run. Laizie shows a cost estimate before it starts. Starting the run is your approval of that spend.
- Consumption is for processing, not for quality. Tokens are used when the AI processes a request. Usage is charged even if the Output is wrong, unusable, incomplete, or you discard it, and even if you stop a response partway.
- Failures we absorb. You are not charged for a request that fails before any Output is delivered, or for automatic retries Laizie makes on your behalf after a provider error. A response interrupted after delivery starts is charged for the tokens delivered.
- Your responsibility. You are responsible for all usage under your Account Key, including usage by your staff, clients, or anyone who obtains access to your install, until you notify us and we disable the key.
5. Refunds, Expiration, Credits, and Chargebacks
Refunds are available only for an unused Laizie Token balance of $50 or more, requested within 30 days of purchase. Balances under $50 are never refunded, even if unused.
| Situation | Outcome |
| Unused balance of $50 or more, requested within 30 days of purchase | Refund of the unused balance to the original payment method, minus non-refundable payment processing fees |
| Unused balance under $50 | No refund, even if no tokens were used |
| Refund requested more than 30 days after purchase | No refund |
| Partly used token purchase | Only the unused portion is eligible, and only if it is $50 or more and within 30 days |
| Dissatisfaction with AI Output | No refund; see Part B |
| Duplicate charge or metering error on our side, reported within 30 days | Corrected as a balance credit or refund, at our choice |
| Laizie Router outage that blocks paid usage | No refund for the outage; balances do not expire during it |
| Add-on subscription | Cancel any time; access runs to the end of the paid term; no partial refunds |
| Account terminated for a breach of these terms | Remaining balance is forfeited |
| Account closed by SharpNet without cause | Unused balance refunded |
- Expiration. Laizie Token balances expire 12 months after your last purchase or use, whichever is later, where permitted by law. We will email a reminder 30 days before expiry.
- Promotional credits have no cash value, may expire sooner, and are used before purchased credits.
- Chargebacks. If you file a chargeback for a purchase you used, we may suspend the account until it is resolved. Please contact us first; most billing problems are fixed faster that way.
6. Bring Your Own Key
When you use your own AI provider key, that provider bills you directly and SharpNet is not a party to that relationship.
- You are responsible for all charges, rate limits, and account actions on your provider account, including charges caused by AI errors, loops, retries, or misuse of your key.
- You must comply with your provider's terms and usage policies. A provider's suspension of your account is between you and that provider.
- You are responsible for securing your key. Laizie stores it in your install's database on your own server. If your server is compromised, your key may be exposed. Rotate it immediately if you suspect exposure.
- Laizie Token billing and Laizie spend caps do not apply to BYOK usage. Set spending limits in your provider's console.
- Models you configure yourself may behave differently from those Laizie is tested with. We do not support or warrant the results of custom models or endpoints.
7. Account Keys, Suspension, and Termination
We may suspend or disable an Account Key immediately to protect the service, other customers, or SharpNet.
Grounds for immediate suspension include:
- Usage patterns that indicate a stolen, shared, or resold key.
- Traffic that threatens Laizie Router's stability, such as automated floods or attempts to bypass caps.
- Use of Laizie Router for anything other than Laizie Builder, unless you hold a separate written API agreement.
- A breach of the AI Behavior Policy, a payment failure, or a chargeback.
- A request from an AI Provider, law enforcement, or a court.
When practical, we will notify you and give you a chance to fix the problem. Suspension stops AI features only; your website and files stay on your server under your control. You may close your account at any time.
Data we collect for keys. Activation sends your Account Key, install folder name, domain, and Laizie version to laizie.dev. We use this to validate entitlements, detect abuse, and support you.
Part B: AI Behavior Policy
8. What AI Output Is, and Who Owns the Decision to Publish
AI Output is a draft. The AI proposes changes; you decide what goes live, and you are responsible for everything you publish.
AI models can and do produce Output that is:
- Factually wrong, outdated, or invented, including fake statistics, quotes, reviews, credentials, prices, or contact details.
- Similar to existing copyrighted text, images, code, or trademarks.
- Inaccessible, non-compliant with privacy, advertising, or industry rules, or unsuitable for your market.
- Broken, insecure, or inconsistent across browsers and devices.
- Different from what you asked for, or different each time you ask.
Before you publish, you must review the Output for accuracy, legality, accessibility, and fitness for your purpose. Laizie does not provide legal, medical, financial, or compliance advice, and Output is not a substitute for a professional review. Pages such as privacy policies, terms, disclaimers, or regulated claims written with Laizie must be reviewed by a qualified professional.
Ownership. As between you and SharpNet, you own the content you supply and, to the extent the law allows, the Output generated for you. We make no claim that Output is protectable by copyright or free of third-party rights. Your rights in Output are also subject to the AI Provider's terms.
9. How Laizie Routes Your Requests
Laizie Router picks which model handles each request; you pick the quality tier and the spending limits.
- Automatic model selection. Requests are matched to models by size, task type, and tier. The model that answers may change between requests and over time as providers release, retire, or reprice models.
- Pinning. You may pin a specific model where your tier allows it. Pinned requests are not optimized for cost.
- Failover. If a provider is slow or down, Laizie may retry the request with another model in the same or a lower tier. It will not fail over to a higher-priced tier.
- Requests that stay on one model. Requests that use tools, require a strict output format, or continue a long conversation are always handled by a single model.
- No guaranteed model. We do not promise that any named model, provider, or version will be available. Model names in the interface describe the current routing and may change.
- Context limits. Long histories and large pages may be trimmed or summarized to fit model limits and control cost. Trimming can cause the AI to miss earlier instructions. Restate key requirements in your latest message.
10. Edit Scope, Backups, and Publishing
Laizie limits where the AI can write and asks you to confirm wider changes, but you remain responsible for your site and your own backups.
- Edit scope. Section markers control how far a change reaches. A change to a section marked as shared or grouped updates every page that uses it. Laizie shows the affected pages and asks for confirmation in proportion to that reach. Confirming is your approval.
- No silent publishing. The AI prepares changes in a working copy. Nothing goes live until you publish. Auto-tagging applies only to the head, navigation, hero, and footer areas and never rewrites body content.
- Pre-publish backups. Laizie saves a backup set before each publish so you can roll back. These backups live on your server, only a limited number are kept, and they are a convenience, not a guarantee. Keep independent backups of your site and database.
- Files outside Laizie. Laizie is designed to change only files and sections it manages. Files edited by other tools, plugins, or people can conflict with Laizie's changes. We are not responsible for conflicts with content Laizie does not manage.
- Your site's results. We are not responsible for lost search rankings, traffic, leads, sales, ad approvals, or downtime caused by content you publish, even if the AI suggested it.
11. AI Security Risks
AI systems can be manipulated by the content they read, so Laizie treats everything other than your own typed instruction as untrusted.
| Risk | What Laizie does | What you must do |
| Prompt injection: hidden instructions inside uploaded files, pasted text, or existing page content | Treats file and page content as data, not commands; never lets it trigger publishing, deletion, or settings changes | Do not paste or upload content from sources you do not trust; review proposed changes before confirming |
| AI-generated scripts and forms | Restricts the AI to front-end files (HTML, CSS, JavaScript); blocks it from writing server-executable files | Review any script, form, embed, or third-party tag before publishing; test forms for spam and data handling |
| Malicious or oversized uploads | Renames conflicting files, restricts file types, and stores uploads in a working folder | Scan files from unknown sources; keep your server's malware protection current |
| Leaked credentials | Never asks the AI to read or output your password, keys, or database contents | Never type passwords, API keys, card numbers, or health data into the AI chat |
| Install discovery | Uses a randomly named install folder and password protection | Use a strong unique password and keep recovery email addresses current |
| Stolen Account Key | Monitors for abnormal usage and can disable keys | Report suspected misuse immediately; you are responsible for usage until you do |
No AI system is immune to manipulation. We will fix security issues we confirm in Laizie's code within a reasonable time, but we do not warrant that Laizie or its Output is free of vulnerabilities. Report security issues to security@laizie.dev.
12. Prohibited Use
You may not use Laizie, Laizie Router, or any Output to do the following. These limits apply in addition to the usage policies of every AI Provider that processes your requests.
Prohibited content and sites
- Phishing pages, look-alike sites, or any site that impersonates a real person, brand, or organization.
- Fake reviews, testimonials, endorsements, credentials, certifications, or records presented as genuine.
- Malware, exploit code, credential harvesting, cryptominers, or hidden redirects.
- Child sexual abuse material or any sexual content involving minors.
- Content that is illegal where it is published or hosted, infringes others' rights, harasses or targets a private individual, or promotes violence.
- Deceptive health, financial, or legal claims, and mass-produced pages made to manipulate search engines rather than serve visitors.
Prohibited conduct
- Using Laizie Router as a general-purpose AI API outside Laizie Builder.
- Sharing, reselling, or pooling Account Keys or token balances without a written reseller agreement.
- Bypassing spend caps, rate limits, routing rules, or license checks, or reverse engineering Laizie Router.
- Attempting to extract system prompts, routing rules, other customers' data, or provider credentials.
- Automated bulk generation that degrades service for other customers.
We may refuse, filter, or stop any request, and remove access to AI features, when we believe it breaks this section. AI Providers may also refuse requests on their own.
13. Data Handling and AI Providers
What you send to the AI leaves your server and is processed by Laizie Router and one or more AI Providers.
- What is sent. Your instructions, the page or section content the task needs, and limited conversation history. Laizie sends the minimum it needs for the task.
- What we keep. Laizie Router logs request metadata (time, Account Key, tier, model, token counts, cost, errors) for billing, abuse detection, and service improvement. A small sample of routing decisions may be reviewed to improve routing accuracy. Retention periods are listed in our Privacy Policy.
- No training by SharpNet. We do not use your content to train AI models. AI Providers handle your data under their own terms; we select providers and settings that do not train on API traffic where that option exists, but we do not control their practices.
- Sensitive data. Do not submit personal data of others, health information, payment card data, government ID numbers, or confidential client material unless you have the right to share it and accept that it will be processed by third parties. Laizie is not designed for regulated data such as HIPAA-covered health information.
- Your visitors. Laizie does not process your website visitors' data through the AI. Data your site collects through forms or scripts is your responsibility as the site owner.
- Privacy Policy. Our Privacy Policy at laizie.dev/privacy explains how we handle account data and your rights under applicable law.
Part C: Terms
14. Hosting Environment
You host Laizie Builder and your website; SharpNet hosts only Laizie Router and the account services at laizie.dev.
Your hosting is your responsibility, including:
- Server security, operating system and PHP updates, TLS certificates, firewall rules, and file permissions.
- Backups of your site, database, and Laizie install, and testing that they restore.
- Compatibility of your host with Laizie's published requirements.
- Disk space, bandwidth, and any hosting costs or overage fees.
- Other software, plugins, or users on the same server.
We are not liable for loss, breach, or downtime that results from your hosting environment, your host's actions, or other software on your server. If your install is compromised, AI usage made through your Account Key during the compromise is still charged to your account.
Laizie Router availability. We provide Laizie Router on a commercially reasonable basis with no uptime guarantee. It may be unavailable for maintenance, provider outages, capacity limits, or security events. When AI features are unavailable, your published website continues to run from your own server.
Resellers and agencies that install Laizie for clients must pass these hosting and AI terms to their clients and are responsible to them for support.
15. Use at Your Own Risk, Liability Limits, and Indemnity
Laizie is a use-at-your-own-risk product. You use Laizie Builder, Laizie Router, add-ons, and all Output entirely at your own risk. You alone decide whether Laizie and its Output are suitable for your website, your clients, and your business.
Free use carries no monetary claim. Laizie Builder used without Laizie Router, Laizie Tokens, or a paid add-on is free software provided at your own risk. Because you pay nothing for it, SharpNet's total liability for any claim arising from free use is zero dollars ($0), and you agree not to seek money damages for it.
Disclaimer of warranties. LAIZIE BUILDER, LAIZIE ROUTER, ADD-ONS, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE FULLEST EXTENT THE LAW ALLOWS, SHARPNET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant any token savings, model availability, search ranking, security outcome, or business result.
Limitation of liability. To the fullest extent the law allows:
- Cap on paid use. No claim, alone or combined with all other claims, may seek or recover more than the total funds you added to your Laizie account (Laizie Token purchases and add-on fees), less any refunds or credits you received. This is the maximum SharpNet will owe under any legal theory, including contract, warranty, negligence, or statute.
- Free use. For free use of Laizie Builder, the cap is $0, as stated above.
- No indirect damages. SharpNet is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, search rankings, website downtime, or business opportunities, even if advised they were possible.
- Third parties. SharpNet is not liable for the acts, omissions, outages, pricing, or data practices of AI Providers, payment processors, or your hosting provider.
- Time to bring a claim. Any claim must begin, by written notice under the mediation step in Section 16, within one year after it arose, or it is permanently barred.
- Basis of the bargain. These limits are an essential part of the pricing of Laizie, including the free availability of Laizie Builder. SharpNet would not offer Laizie without them.
Your indemnity. You will defend and indemnify SharpNet, its owners, employees, and contractors against third-party claims, fines, and reasonable costs, including attorney fees, arising from content you publish, your use of Output, your website or hosting, your breach of these terms, or claims by your clients or site visitors.
What these limits do not cover. Nothing in these terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, willful misconduct, or death or bodily injury caused by negligence, or any non-waivable rights under consumer protection law. Where a limit cannot apply in full, it applies to the maximum extent the law permits, and the rest of this section remains in effect.
16. Changes, Disputes, and Contact
- Changes. We may update these terms as AI technology, providers, and law change. Material changes take effect 30 days after we post them or email you; continued use after that date is acceptance. Changes required by law or for security may take effect immediately.
- Governing law. Colorado law governs, without regard to conflict-of-law rules.
- Mediation first. Before either party files a lawsuit relating to Laizie, that party must give the other written notice of the dispute and both must take part in good-faith mediation in Larimer County, Colorado, with a mutually agreed mediator. Mediation costs are split equally; each party pays its own attorney fees. If the dispute is not resolved within 60 days of the notice, either party may proceed to litigation. A party that files suit without first completing this step may have the suit dismissed or stayed until mediation occurs. SharpNet may still seek immediate court relief to stop key abuse, security threats, or infringement of its intellectual property.
- Jurisdiction and venue. Any trial relating to Laizie must take place in the state or federal courts located in Larimer County, Colorado. By using Laizie, you consent to the personal jurisdiction of those courts and waive any objection to that venue.
- Entire agreement. These terms, the Laizie license, and any order form are the whole agreement for Laizie. If a provision is unenforceable, the rest remains in effect.
- Contact. Billing: billing@laizie.dev. Security: security@laizie.dev. Legal notices: SharpNet Solutions, [street address], Fort Collins, Colorado.
